Agape Nanny Agency LLC d/b/a Agape Childcare Staffing — Church Partnership Membership Agreement
This Agreement is entered into as of the date last signed below, by and between Agape Nanny Agency LLC, d/b/a Agape Childcare Staffing, a Texas limited liability company ("ACS"), and the Church identified below ("Church").
1. Services Provided
ACS agrees to provide professionally screened childcare staff to support the Church's childcare needs for services, ministries, and special events. ACS will: provide trained childcare staff for nursery, children's ministry, and special events; conduct background checks, identity verification, and sex offender registry checks; assign staff based on availability, required ratios, and ministry needs; compensate all childcare staff directly; and make reasonable efforts to replace staff in emergencies. All caregivers are W-2 employees or 1099 contractors of ACS. Caregivers are not employees of Church.
2. Membership Tier
A booking is defined as one childcare staff member attending one scheduled childcare session.

If Church's booking volume consistently exceeds the tier threshold, ACS will notify Church and adjust with fourteen (14) days notice.
3. Fees and Payment Terms
3.1 Hourly Rate. $40.00/hr per staff member. Four (4) hour minimum per booking. 3.2 Monthly Membership Fee. Automatically charged to Church's card on file on the 1st of each month. Hourly charges billed biweekly based on Church-approved timesheets. 3.3 On-Demand Fee. $75.00 coordination fee per service plus standard hourly rate. 3.4 Holiday Rate. $45.00/hr per staff member with four (4) hour minimum. See Exhibit A. 3.5 Shift Extensions. Additional time billed in hourly increments. 3.6 Payment Method. Church agrees to keep a valid payment method on file at all times. Timesheets must be approved or disputed within two (2) business days. 3.7 Late Payment. Invoices unpaid within fifteen (15) days subject to 1.5%/month late fee. ACS may suspend services for overdue accounts. All previously billed services are non-refundable.
4. Required Ratios

5. Bookings, Cancellations, and Schedule Changes
Four (4) hour minimum per shift. Cancellations within 24 hours billed at four (4) hour minimum; waived for inclement weather with 2+ hours notice. Submit schedule by the 15th of each month. Provide schedule at least seven (7) days in advance. Changes within 48 hours may incur additional charges.
6. Church Responsibilities
Church agrees to: provide attendance estimates 48 hours prior; ensure safe clean childcare areas; provide access and supplies; share policies and emergency procedures during onboarding; notify ACS of schedule changes; ensure a Church representative is on premises during all ACS-staffed shifts.
7. Caregiver Reservation and Availability
Membership entitles Church to reserved Caregiver availability. ACS prioritizes membership clients. If ACS cannot provide coverage for a confirmed shift, Church will not be billed.
8. Confidentiality and Non-Solicitation
Church may not directly solicit, hire, or engage any ACS staff member during the term and for twelve (12) months after termination without prior written consent. Direct-hire placement fee: 20% of anticipated first-year compensation, minimum $3,750.
9. Liability and Indemnification
ACS is not responsible for child behavior incidents, injuries from unsafe facilities, or actions of Church staff or attendees. Church agrees to indemnify and hold harmless ACS from any such claims. ACS's total liability shall not exceed fees paid in the preceding thirty (30) days.
10. Term and Termination
Month-to-month, automatically renewing. Either Party may terminate with fourteen (14) days written notice by email. ACS may terminate immediately for non-payment or material breach. All outstanding payment obligations survive termination. All previously billed services are non-refundable.
11. Governing Law
Governed by the laws of the State of Texas. Disputes resolved in Dallas County, Texas courts.
Exhibit A — Holiday Schedule (Effective January 1, 2026)
Holiday rate of $45/hr: New Year's Day (Jan 1), Easter Sunday (varies), Mother's Day (2nd Sunday in May), Thanksgiving Day (4th Thursday in November), Christmas Eve (Dec 24), Christmas Day (Dec 25). First-come, first-served. Membership clients receive priority.
